Requirements

Before applying for the Virtual Asset Business Licence, an applicant must first incorporate a local company. Based on the jurisdiction's available legal forms, the Private Company Limited by Shares ('Ltd.') — Saint Lucia's local equivalent of an LLC — is the recommended default vehicle for licensed activity, since other structures such as the International Business Company (IBC) are generally restricted from local domestic trading and are not suitable for a licensed business. Other legal forms (Public Limited Company, Company Limited by Guarantee, External Company/Branch, Limited Partnership, General Partnership, Sole Proprietorship) also exist in Saint Lucia and may be used for other purposes, but the Private Company Limited by Shares is the structure suited to licensing.

Company registration is handled by Saint Lucia's companies registry (official registrar URL not confirmed in the sources reviewed). Once incorporated, applicants will need a local bank account; two major banks operating in Saint Lucia are Bank of Saint Lucia and CIBC FirstCaribbean International Bank, both of which publish their own account-opening requirements on their websites.

Virtual asset business in Saint Lucia is licensed and supervised by the Financial Services Regulatory Authority (FSRA) under the Virtual Asset Business Act, No. 24 of 2022, which came into force on 28 December 2022. Section 4(1) of the Act makes it clear that no person may offer or operate a virtual asset business in or from Saint Lucia without being licensed. Implementing regulations (Virtual Asset Business Regulations, S.I. 2025 No. 37) were made on 25 February 2025 and set out the detailed licensing conditions.

Key confirmed features of the regime:

  • Single licence tier: the Regulations cover one licence, without separate classes or categories, spanning five licensable activities — fiat/virtual-asset exchange, virtual-asset/virtual-asset exchange, transfer (including gratuitous transfer), custody/administration of virtual assets or their control instruments, and participation in financial services connected to the issue or sale of virtual assets.
  • No fixed minimum capital figure: Regulation 10 requires only 'adequate capital and liquidity' appropriate to the business, and the FSRA may request a higher amount in writing on a case-by-case basis.
  • Fees (Schedule 2 of the Regulations): a non-refundable application fee of US$1,000, a licence fee of US$15,000, and a late renewal fee of US$100 per day. The licence year runs from 1 January to 31 December, with renewal due by 31 January.
  • AML obligations: virtual-asset-business transactions are subject to reporting under the Money Laundering (Prevention) Act, applying a US$1,000 (or XCD equivalent) threshold, following the 2023 amendment that added VASPs to the Act's schedule.
  • Saint Lucia sits within the Eastern Caribbean Currency Union; the Eastern Caribbean Central Bank does not itself regulate cryptocurrency, and Saint Lucia is one of seven of eight ECCU member states to have adopted the model Virtual Asset Business Bill (one of four to adopt the accompanying model regulations). The Eastern Caribbean Securities Regulatory Commission is the region's securities regulator and may be relevant to related financial-services matters.
  • The FSRA maintains a statutory register of licensed virtual asset businesses; as of the most recent review the register showed no active entries, and the FSRA has issued public notices confirming that unlicensed virtual asset business is prohibited and directing such operators to cease and desist.
