Requirements

Before applying for a VASP registration or licence, a company must first be incorporated with the General Registry, Cayman Islands (Registrar of Companies). For international crypto and licensing purposes, the Exempted Company is the recommended default legal form — it is the closest Cayman equivalent to an internationally recognised limited liability company (LLC/IBC) and the vehicle most commonly used for cross-border business and licensing structures. An Exempted Company requires a registered office in the Cayman Islands and is filed with the General Registry, which also operates online filing tools (the Corporate Administration Platform and the Cayman Business Portal). Once incorporated, the company can open banking relationships with Cayman-based institutions such as Cayman National Bank or Butterfield Bank (Cayman).

The Cayman Islands VASP regime is built around a two-tier structure administered by CIMA:

  • VASP registration — for lower-risk virtual asset service activity.
  • Full VASP licence — required for higher-risk services: exchange, transfer, custody, trading-platform operation, and virtual asset issuance.

Since 1 April 2025, virtual asset custody and virtual asset trading platform activities can no longer be conducted under the lighter registration tier — a full licence is mandatory for these two categories.
